GSP™ Confidentiality Agreement

By registering for the Group Soundbath Player™ (GSP™) Certification Course, you confirm that you have read, understood, and agree to be legally bound by the following terms, which supplement the GSP™ Certification Course Terms and Conditions. Your agreement is confirmed by providing your electronic signature through the digital signing process, which serves as your electronic signature, equivalent to a handwritten signature under applicable law. This Agreement governs your obligations to protect the confidentiality and intellectual property of Beyond Percussion.

1. Definition of Confidential Information
All course content, including but not limited to course curriculum and structure, videos, audio recordings, documents, test questions and answers, practice session guidelines, technique coaching, event templates, assignment directions and participant-generated notes based on course materials, is the exclusive and confidential property of Beyond Percussion and is protected by its intellectual property rights, including copyrights and trademarks.

2. Non-Disclosure Obligations
You agree not to disclose, share, or discuss any confidential information, including test questions, answers, or course content, with any unauthorized person or entity without prior written approval from Beyond Percussion. Authorized discussions (e.g., with instructors for course purposes) are permitted.
You agree not to record, copy, screenshot, reproduce, modify, or distribute any course content in any form, including digital, physical, or verbal formats.
You agree not to sell, license, give away, or obtain course content from any source other than Beyond Percussion.

3. Protection of Course Access
You agree not to share your course platform access (e.g., SoundbathPlayer™ Study Hub, Account Dashboard), including login credentials or passwords, with any other person or entity. Unauthorized access sharing is strictly prohibited and may result in termination of course access without refund.

4. Course Platform Usage Restrictions
You may only use the course websites and applications (e.g., SoundbathPlayer™ Study Hub, Account Dashboard) for authorized purposes related to completing the GSP™ Certification Course, ordering instruments, communicating with Beyond Percussion, or accessing content contained in SSL™ Skill Building or SoundbathPlayer™ Pro memberships. Prohibited activities include, but are not limited to, hacking, scraping content, reverse-engineering, or overloading the platform. Violations may result in immediate suspension or termination of access without refund, certification revocation, and legal action.

5. Audit Rights
Beyond Percussion reserves the right to audit your public activities (e.g., social media, websites, or public events) to ensure compliance with all Agreements. Non-compliance may result in termination of course access, certification revocation, and legal action.

6. Duration of Obligations
Your confidentiality obligations under this Agreement begin upon enrollment and continue indefinitely, including after course completion, certification, or expiration/revocation of any GSP™ certification.

7. Data Privacy
You consent to the collection, storage, and processing of personal data provided during course participation (e.g., login activity, submissions) in accordance with U.S. data protection laws and Beyond Percussion’s Privacy Policy. Data may be stored in the U.S. or other countries with differing data protection standards. Beyond Percussion is not liable for issues arising from third-party services used for course delivery, to the extent permitted by law.

8. Indemnification
You agree to indemnify, defend, and hold harmless Beyond Percussion, its affiliates, and instructors from any claims, damages, losses, or expenses (including legal fees) arising from your violation of this Agreement, misuse of course content, or unauthorized disclosure of confidential information.

9. Consequences of Violation
Violation of this Agreement may result in:

  • Immediate termination of course access without refund.

  • Revocation of any GSP™ certification or credentials issued by Beyond Percussion or its subsidiaries.

  • Legal action, including but not limited to injunctive relief and damages, pursued in state or federal courts in San Bernardino County, California, or through mediation and arbitration as outlined in the GSP™ Certification Course Terms and Conditions (Sections 24 and 25).

10. Force Majeure
Beyond Percussion is not liable for any failure to enforce this Agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, or technical failures. Your confidentiality obligations remain in effect during such events.

11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of California, excluding conflict of law principles. Disputes arising from this Agreement shall be resolved exclusively in state or federal courts in San Bernardino County, California, or through confidential mediation and binding arbitration per the GSP™ Certification Course Terms and Conditions (Sections 24 and 25). You consent to this jurisdiction and venue.

12. Acknowledgment
By providing your electronic signature through the digital signing process, which serves as your electronic signature equivalent to a handwritten signature under applicable law, you confirm you have read, understood, and agree to be bound by this Agreement. You acknowledge the opportunity to consult legal counsel before agreeing. Compliance is mandatory, and violations may result in the consequences outlined in Section 9.
